These contracts have differentiating features such as being self-executing, decentralized, encrypted and immutable, and these features have led the general public to regulate their legal relationships in the form of these contracts. But the question that was raised from the beginning of these contracts is whether the technology of smart contracts is just a program code that represents the agreements of the parties or is it considered a contract in its legal sense and the rules, regulations and effects of contracts are also applied in them? In this article, by examining the text of relevant laws and regulations and studying library sources, we have explained this issue with a comparative view between the laws and doctrine of Iran and Bulgaria, and we have analyzed the similarities and differences about the nature of the smart contract as program code or legal contract, and we have come to the conclusion that despite the fact that smart contracts are formed in the form of program code, they have the characteristics and features of legal contracts and the rules, regulations and effects of legal contracts apply to them, except for the cases that are excluded by the laws. قراردادهای هوشمند، نسل جدیدی از قراردادهای الکترونیکی مبتنی بر فناوری بلاکچین هستند. این قراردادها دارای خصوصیات متمایزکننده‌‌ای نظیر خوداجرایی، غیرمتمرکز بودن، رمزنگاری‌شده و تغییرناپذیر بودن هستند. این خصوصیات سبب سوق یافتن عامه مردم به تنظیم روابط حقوقی خود در قالب این قراردادها شده است؛ اما سؤالی که از ابتدای پیدایش این قراردادها مطرح شد، آن است که آیا فناوری قراردادهای هوشمند، صرفاً یک کد برنامه‌نویسی‌‌شده نشان‌دهنده توافقات طرفین است یا یک قرارداد، به مفهوم حقوقی آن، محسوب می‌‌شود و قواعد، مقررات و آثار قراردادها نیز در آن‌‌ها جاری می‌‌شود؟ در این مقاله با بررسی متن قوانین و مقررات مربوطه و منابع مطالعاتی و کتابخانه‌‌ای، به تبیین این موضوع با نگاهی تطبیقی بین قوانین و دکترین ایران و بلغارستان پرداخته‌‌ایم و وجوه اشتراک و افتراق درباره ماهیت قرارداد هوشمند به‌عنوان کد برنامه‌نویسی یا قرارداد حقوقی را مورد تحلیل قرار داده‌‌ و به این نتیجه رسیده‌‌ایم که علی‌‌رغم آنکه قراردادهای هوشمند در قالب کد برنامه‌نویسی تشکیل می‌‌شوند اما دارای اوصاف و خصوصیات قراردادهای حقوقی بوده و قواعد، مقررات و آثار قراردادهای حقوقی نسبت به آن‌‌ها جاری می‌‌شود؛ مگر مواردی که توسط قوانین، استثنا شده است. /downloadfilepdf/1188901
